Legal Counsel

Essential Duties and Responsibilities:
Your key responsibilities

• Provide legal support initially to two of Philips’ business groups: (1) one that focuses on connected care propositions via patient monitor, patient monitoring, analytics and informatics, big data, IT-related services, SaaS businesses (including our branded digital health platform) and (2) one that focuses on our diagnostic imaging propositions which combine advanced imaging modalities and clinical decision support solutions. These businesses develop, manufacture, and sell sophisticated clinical, health and wellness related software applications and associated devices, along with related consulting and support services
• Provide as needed general corporate legal support for our Andover, MA based North American headquarters.
• Provide informed legal counselling and commercial contracting support for the applicable businesses’ R&D, procurement, manufacturing, marketing, sales and service activities
• Coordinate and facilitate other related business initiatives when applicable
• Develop and deliver internal training materials to your clients with respect to compliance and legal matters related to all of the above

Our offer

This position is a great opportunity for a business lawyer who has meaningful experience supporting (a) the development and manufacture of medical devices, solutions and software by high tech companies, specifically with business-to-business distribution models as well as (b) general corporate legal counselling background.

Familiarity with the issues surrounding business models that incorporate the cloud in settings and leverage ecosystems that support health care-related IT platforms would be a plus.

As a lawyer you will be part of a multi-disciplinary team and provide legal support that requires an ability to work collaboratively globally within the Legal Function and with business stakeholders who focus on sales to business and to consumers. As such, this position will also advise on marketing and sales programs and other business activities from a Medicare Fraud and Abuse and like compliance perspectives.

Minimum Qualifications and Skills:
We are looking for

3-7 years in-house or law firm experience within a relevant health care related company with substantive experience skill set:
• Providing successful legal commercial/transactional support (including, e.g., drafting and negotiating commercial contracts) for multiple clients in a fast-paced setting.
• Meaningful experience providing commercial legal support to a company in its sale of IT products, services and solutions; software; hardware; consulting services; and support services and/or within the medical device industry.
• Useful other experience would include:
o Counseling on the proper use of health care and other personal data for R&D, marketing, and other commercial uses, under HIPAA and other applicable law; and
o Applying health care Compliance laws (i.e. among others Medicare Fraud and Abuse, the Personal Services Safe Harbor, and Sunshine Law) to commercial activities

Additional qualifications:

• J.D. from an accredited U.S. law school and admission to a state bar
• Identifying business and legal risks and offering creative solutions and counseling based on a reasonable balance of the applicable issues;
• Strategic thinker
• Persuasive presentation and counseling skills
• Excellent contract drafting skills
• A keen interest in all types of technology
• A collegial, cooperative and an open person who enjoys being a team player and builder in a rapidly changing environment, and feels comfortable working in a global environment on projects involving professionals from around the world.
• Ability to travel
