Title: General Counsel (part-time)

Partners In Health (PIH) is a non-profit organization based in Boston, MA, whose mission is to provide a preferential option for the poor in health care. Through service delivery, training, advocacy and research, PIH works globally to bring the benefits of modern science to those most in need and to serve as an antidote to despair. PIH has programs in Haiti, Peru, Mexico, Russia, Africa, and Boston.

Position Overview

The General Counsel will be responsible for ensuring legal compliance globally for Partners In Health across a wide range of areas including corporate structure, corporate registration and filings, employment issues, tax matters, and contract reviews/adherence. Given that this is a new role, the General Counsel will also be responsible for implementing new organizational systems and processes both in Boston and also in our field offices with the end goal of legal compliance.

Specific Responsibilities

  • Respond to legal matters and questions as they arise including:
    • Human resource/employment issues including hiring/firing processes/documentation, tax matters, releases for volunteers and event participants, and review of policies and procedures
    • PIH compliance with non-profit rules and regulations
    • Corporate organizational matters including subsidiaries/LLCs, memorandums of understanding with partners, Board bylaws and processes
    • Corporate registrations and filings
    • Contract reviews related to leases, non-disclosure agreements, employment-contractor agreements, payroll service agreements, travel service agreements, and research-related agreements
    • Intellectual property and trademark matters
  • Help to develop and implement an organization-wide knowledge management system
  • Help to develop and implement a global risk matrix/management system
  • Serve as primary contact for outside pro bono attorneys

Qualifications

  • Juris Doctor required
  • 8+ years of corporate experience
  • Experience with, and working knowledge of, the federal and state laws applicable to 501(c)(3) organizations
  • Self-starter with the ability to work independently but with the judgment to know when to seek guidance
  • Strong analytical skills and demonstrated ability to understand complex legal concepts and offer succinct and understandable explanations and counsel to colleagues
  • Flexibility, humility, and a good sense of humor
