Basic Purpose:

Eaton Vance is seeking an Attorney to join its in-house legal department to provide support to various corporate and transactional-related matters, including trust company, compliance, public company and general legal matters.

Primary Responsibilities:

Provide support to various corporate matters, including drafting and filing public company filings with the U.S. Securities and Exchange Commission; reviewing due diligence materials and drafting and reviewing transactional documentation; and reviewing and revising the governing documents of Eaton Vance’s corporate affiliates and plans.
Assist with trust company matters, including creating and maintaining fund vehicles and trust accounts, preparing Board materials, and responding to the inquiries of prospective and current investors.
Review contracts, policies and procedures, and other documents for validity, content, accuracy and compliance. Draft contracts, policies and procedures, and other legal documents.
Opportunities to assist with other matters.

Minimum Qualifications and Skills:
Job Requirements:

JD and MA bar membership.
7 to 10 years of corporate legal experience, including public company, M&A and other transactional-related experience.
Excellent communication and interpersonal skills with a client service attitude.
Strong attention to detail and strong document drafting and review skills.
Good business judgment and the ability to work well both independently as well in a team environment, while being results-oriented.
Ability to work independently and responsively in a high pressure environment.
Must be organized and able to handle multiple tasks with multiple deadlines.
