Overview:

The mission of the U.S. Securities and Exchange Commission (SEC) is to protect investors, maintain fair, orderly, and efficient markets, and facilitate capital formation.

In support of the Commission’s mission to protect investors, maintain fair, orderly, and efficient markets, and facilitate capital formation, the Division of Corporation Finance seeks to ensure that investors are provided with material information in order to make informed investment decisions, both when a company initially offers its securities to the public and on an ongoing basis as it continues to give information to the marketplace. The Division also provides interpretive assistance to companies with respect to SEC rules and forms and makes recommendations to the Commission regarding new rules and revisions to existing rules.

Typical duties include:                                                                       

  • Participating in the formulation of new or revised policies and programs and recommending the adoption of new and revised forms, rules and regulations under the Acts administered by the Division.
  • Serving as legal adviser and counselor to key executives within the SEC on all matters arising within mergers and acquisitions.
  • Performing extensive and extremely complex review of statutes, regulations, and disclosure documents related to publicly held companies and rendering comprehensive legal advice and assistance.
  • Monitoring and reviewing transactions including proxy contests, tender offers, exchange offers, mergers, and going-private transactions, as well as beneficial ownership disclosure schedules.
